Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and FunderGo AI Limited ("FunderGo AI", "we", "us" or "our"), a company incorporated in Hong Kong, governing your access to and use of the FunderGo AI platform at fundergo.ai (the "Platform") and all related services, features, and content (collectively, the "Services").

By registering for an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

FunderGo AI provides an AI-powered financial management and business financing platform that includes, but is not limited to:

• AI-assisted bank statement analysis and financial reporting.
• Loan application processing and submission facilitation.
• Invoice creation, expense management, and bookkeeping tools.
• Financial advisory service referrals.
• Document upload, storage, and AI data extraction.

FunderGo AI is a technology platform and does not itself provide lending, banking, financial advice, or regulated financial services within the meaning of the Securities and Futures Ordinance (Cap. 571) or the Banking Ordinance (Cap. 155) of Hong Kong. We facilitate access to financial services providers and tools, but all lending and financial decisions are made by the relevant licensed institutions.

3. Eligibility and Account Registration

To use the Platform, you must:

• Be at least 18 years of age.
• Be a business entity lawfully registered and operating in Hong Kong or such other jurisdictions as we may permit from time to time.
• Provide accurate, complete, and current registration information.
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access.

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that provide false information or breach these Terms.

4. User Obligations

You agree that you will:

• Use the Platform only for lawful purposes and in compliance with all applicable Hong Kong laws and regulations.
• Provide truthful, accurate, and complete information in all applications, forms, and communications.
• Not upload or transmit any documents that are fraudulent, forged, or misleading.
• Not use the Platform to engage in money laundering, terrorist financing, fraud, or any other criminal activity.
• Not attempt to gain unauthorised access to any part of the Platform or another user's account.
• Not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
• Not use any automated tools, bots, or scrapers to access or extract data from the Platform without our prior written consent.
• Promptly notify us of any errors or inaccuracies in your account information or submitted data.

5. AI-Generated Content and Financial Analysis

The Platform uses artificial intelligence and machine learning technologies to process documents, extract data, and generate financial analysis and reports ("AI Output"). You acknowledge and agree that:

• AI Output is provided for informational purposes only and does not constitute financial, investment, legal, or professional advice.
• AI Output may contain errors, inaccuracies, or omissions. You are solely responsible for verifying any AI Output before relying on it for any business or financial decision.
• FunderGo AI makes no representations or warranties regarding the accuracy, completeness, or fitness for purpose of any AI Output.
• You should always consult a qualified professional (including a licensed financial adviser, accountant, or solicitor) before making any significant financial or business decision.

6. Intellectual Property

All intellectual property rights in the Platform, including software, design, trademarks, and content created by us, are owned by or licensed to FunderGo AI Limited. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes described in these Terms.

You retain ownership of all data and documents you upload to the Platform ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to process, store, and use such content solely for the purpose of providing the Services to you.

You represent and warrant that you have the right to upload and use all User Content and that such content does not infringe any third-party intellectual property rights.

7. Fees and Payment

Certain features of the Platform may be subject to subscription fees or usage charges ("Fees"). All Fees will be disclosed to you prior to purchase. Unless otherwise stated, all Fees are quoted in Hong Kong Dollars (HKD) and are inclusive of any applicable taxes.

Fees paid are non-refundable except where required by the laws of Hong Kong or as expressly stated in a separate agreement. We reserve the right to modify our Fees upon reasonable notice to you.

8. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Nothing in these Terms limits or excludes any implied conditions or warranties that cannot be excluded or limited under applicable Hong Kong law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FunderGo AI Limited, its directors, officers, employees, agents, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business opportunity, or goodwill.
• Losses arising from reliance on AI-generated analysis or financial recommendations.
• Losses arising from decisions made by financial institutions in relation to your loan applications.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the total Fees paid by you to FunderGo AI in the 12 months preceding the claim, or (b) HKD 1,000.

10. Indemnification

You agree to indemnify, defend, and hold harmless FunderGo AI Limited and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) any breach of these Terms; (c) any User Content you submit; or (d) any violation of applicable laws or third-party rights.

11. Suspension and Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe that you have breached these Terms, engaged in fraudulent or unlawful conduct, or if required to do so by applicable law or regulatory authorities.

You may terminate your account at any time by contacting us at support@fundergo.ai. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall continue to apply.

12. Third-Party Services and Links

The Platform may contain links to third-party websites or integrate with third-party services. We do not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party services. Your use of such services is at your own risk and subject to their respective terms.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your personal data as described in the Privacy Policy in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong.

14. Amendments

We reserve the right to amend these Terms at any time. Material changes will be communicated by posting a notice on the Platform or by email. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not accept the amended Terms, you must stop using the Platform.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

Before commencing legal proceedings, you agree to notify us in writing and allow 30 days for us to attempt to resolve the dispute amicably.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and FunderGo AI Limited with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
